Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Anvers website and Services. By using the website, you agree to these Terms.
1. Our Role
Anvers provides a B2B deal-execution and introduction service. Anvers may assist with sourcing, matching, specification alignment, commercial terms support, negotiation coordination, and deal execution support. However:
- Anvers is not a party to contracts between buyers and suppliers unless explicitly agreed in writing.
- Anvers does not guarantee that any deal, transaction, or contract will be completed.
- Any commercial decision remains the responsibility of the participating businesses.
2. No Warranties
The website and the Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Anvers disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.
3. Buyer and Supplier Responsibility
You are responsible for:
- The accuracy of information you submit.
- Your own due diligence, negotiations, contracting, and performance.
- Compliance with applicable laws, including trade, tax, and regulatory requirements.
4. Limitation of Liability
To the maximum extent permitted by law, Anvers will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the website or the Services.
In all cases, Anvers’s total liability for claims related to the Services will be limited to the amount (if any) you paid to Anvers for the specific Services giving rise to the claim during the three (3) months prior to the event.
5. Communications and CASL
If you submit a request or message, you authorize Anvers to contact you using the information you provide to respond to your inquiry. Any marketing communications will comply with Canada’s Anti-Spam Legislation (CASL), and you can opt out at any time.
6. Acceptable Use
You agree not to misuse the website, including attempting to:
- Interfere with security or performance.
- Submit fraudulent, unlawful, or misleading information.
- Scrape, reverse-engineer, or abuse the site infrastructure.
We may suspend or block access if we reasonably believe misuse is occurring.
7. Intellectual Property
All site content, branding, and materials are owned by Anvers or its licensors and may not be used without permission.
8. Changes
We may update these Terms from time to time. Updates are effective when posted.
9. Governing Law
These Terms are governed by the laws of the Province of Québec and the applicable federal laws of Canada, without regard to conflict-of-law principles. Courts located in Québec will have jurisdiction, unless otherwise required by law.
